Confidentiality and related nondisclosure provisions are common place in transactional documents, often intended to preserve the integrity of the diligence process, protect terms of a major business or real estate agreement, protect trade secrets or shield the terms of a litigation settlement.  These agreements have a logic all their own and, if not carefully designed and drafted, can easily fail in their purpose.  This program will provide you with a drafting guide to the most important provisions of these agreements, how they interrelate to each other, and to larger transactional documents or settlements in litigation.
